Terms and Conditions

An advance payment/deposit is required for the consultant to begin work. Authentic
Encounters will invoice 50% of the fees upon execution of the agreement. The
remaining 50% is due Net 15 after the first kick-off session.

Refund Policy

Non-Refundable Fees: The Client acknowledges and agrees that all fees paid to the
Consultant for services rendered under this Statement of Work are non-refundable once
the program has commenced. The program is considered to have commenced upon the
earlier of the start date specified in this SOW or the date on which the Consultant
begins to provide services.

Program Commencement: The program will be deemed to have started upon the
Consultant beginning any preparatory work or service delivery, whichever occurs first.

Termination by Consultant: Should the Consultant terminate this agreement for any
reason other than a material breach by the Client, the Consultant will refund a pro-rata
portion of any fees paid in advance for services not yet rendered. However, no refund
will be provided for any portion of services already commenced or completed.

Termination by Client: If the Client terminates this agreement for any reason, the
Client will not be entitled to a refund of any fees paid. Any outstanding fees for services
rendered up to the termination date will remain payable by the Client.

Force Majeure: In the event of circumstances beyond the Consultant's control
(including but not limited to natural disasters, acts of war, or other force majeure
events), the Consultant will not be liable to provide a refund, but reasonable efforts will
be made to reschedule or otherwise mitigate the impact of such events on the program
delivery.
